These Terms of Use ("Terms") govern your access to and use of the Sitefiy website at Sitefiy and any services we provide. By accessing this website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

01 - Acceptance

Agreement to Terms

These Terms constitute a legally binding agreement between you ("User," "Client," or "you") and Sitefiy, a company incorporated under the Companies Act 2013, with its registered office at Ardente Office One, Hoodi,Bangalore - 560048 India ("Sitefiy," "we," "us," or "our").

By using our website, submitting a contact form, engaging us for services, or signing a Statement of Work ("SOW"), you confirm that you are of legal age to enter into contracts in your jurisdiction and that you accept these Terms in full. These Terms apply alongside any separate engagement agreement or SOW you may sign with us - in the event of conflict, the SOW takes precedence.

02 - Our Services

What we offer

Sitefiy provides digital product design and development services including but not limited to:

  • UI/UX design, prototyping, and design systems
  • Front-end and back-end web development
  • E-commerce platform development
  • Mobile application development (iOS & Android)
  • Cloud infrastructure, DevOps, and hosting
  • SEO, analytics, and digital growth services
  • Ongoing maintenance retainers and support

All project-specific deliverables, timelines, fees, and responsibilities are detailed in individual Statements of Work agreed upon with each client. We reserve the right to decline any project engagement at our sole discretion, without obligation to provide a reason.

03 - Website Use

Permitted & prohibited use

You may use our website for lawful purposes of enquiring about or engaging our services. The following are expressly prohibited:

  • Scraping, crawling, or harvesting data from our website without written permission
  • Attempting to gain unauthorised access to our systems, servers, or databases
  • Uploading or transmitting malware, viruses, or any malicious code
  • Impersonating Sitefiy or any of our team members
  • Using automated tools to submit forms, generate enquiries, or abuse our systems
  • Reproducing, distributing, or republishing any part of our website content without consent
  • Using our website in any way that violates applicable Indian or international law
⚠ Violation notice

Violations of these use restrictions may result in immediate termination of your access, legal action, and civil or criminal liability. We actively monitor for abusive patterns and reserve the right to block IP addresses or initiate legal proceedings without prior notice.

04 - Accounts & Access

Client portals & credentials

Where we provide you with access to project management tools, staging environments, Figma boards, or client portal systems, you are responsible for maintaining the confidentiality of any login credentials provided. You agree not to share access credentials with unauthorised parties.

You must notify us immediately at hello@Sitefiy.studio if you suspect any unauthorised access to your project assets. We are not liable for any loss or damage arising from your failure to maintain credential security.

05 - Intellectual Property

Sitefiy IP

All content on the Sitefiy website - including but not limited to text, design, graphics, logos, animations, code, case studies, and portfolio imagery - is owned by or licensed to Sitefiy and is protected by copyright, trademark, and other applicable intellectual property laws.

No content from our website may be reproduced, modified, distributed, transmitted, or used for commercial purposes without our prior written consent. Our name "Sitefiy" and logo are unregistered trademarks; use of these marks is prohibited without permission.

Portfolio Display

Unless a client requests otherwise in writing, Sitefiy reserves the right to display completed project work in our portfolio, on our website, and in award submissions. We will never disclose confidential business information as part of such display.

06 - Client IP & Content

Ownership of deliverables

Upon receipt of full payment for a project, Sitefiy assigns all intellectual property rights in the bespoke deliverables created for that project to the client. This assignment is documented in the applicable SOW and takes effect only upon final payment.

Prior to full payment, all deliverables remain the property of Sitefiy. Sitefiy retains ownership of all pre-existing tools, frameworks, libraries, code snippets, and methodologies used in delivering the project ("Background IP"), and grants the client a non-exclusive licence to use such Background IP solely as part of the delivered solution.

07 - Payments & Fees

Billing & payment terms

Payment terms are outlined in each SOW. Standard terms are as follows:

  • Invoices are payable within 7 business days of issue unless otherwise agreed
  • Late payments accrue interest at 18% per annum (1.5% per month) from the due date
  • We reserve the right to suspend all work and withhold deliverables until overdue payments are settled
  • All prices are exclusive of applicable GST unless stated otherwise
  • International clients: fees are quoted in INR or USD as specified in the SOW; client bears FX conversion costs
  • Refunds are not available once a project milestone has commenced, except where Sitefiy fails to deliver the agreed scope
Scope Change Policy

Any changes to the agreed scope of work will be estimated and quoted separately as a Change Request ("CR"). No out-of-scope work will commence without a signed CR. Scope changes may affect timelines and fees.

08 - Warranties

What we guarantee

Sitefiy warrants that services will be performed with reasonable skill, care, and diligence by qualified professionals. We provide 30 days of complimentary bug fixes following project launch, covering defects in our delivered code and design.

Our website is provided "as is" without warranty of any kind. We do not warrant that our website will be uninterrupted, error-free, or free from viruses. We make no representations regarding the accuracy, completeness, or currency of information on our website.

All other warranties, whether express or implied, including implied warranties of merchantability and fitness for a particular purpose, are excluded to the fullest extent permitted by applicable law.

09 - Limitation of Liability

Please read this section carefully as it limits our liability to you.

To the fullest extent permitted by law, Sitefiy's total aggregate liability to you - whether in contract, tort (including negligence), breach of statutory duty, or otherwise - arising from or in connection with these Terms or any services provided shall be limited to the total fees paid by you to Sitefiy in the three months preceding the event giving rise to the claim.

In no event shall Sitefiy be liable for any indirect, special, incidental, consequential, or exemplary damages, including but not limited to: loss of profits, loss of revenue, loss of data, loss of business opportunity, or reputational damage - even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

10 - Indemnification

Your indemnity

You agree to indemnify, defend, and hold harmless Sitefiy and its directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of these Terms or any applicable law
  • Content or materials you supply to us for use in your project that infringe any third-party intellectual property, privacy, or other rights
  • Your negligent or wilful acts or omissions
  • Any claim by a third party arising from your use of deliverables in a manner not authorised by us
11 - Termination

Ending the engagement

By the Client: You may terminate a project engagement by providing 14 days' written notice. You will be invoiced for all work completed up to the termination date, calculated on a pro-rata basis at our day rate. Milestone payments already made are non-refundable.

By Sitefiy: We may suspend or terminate our services immediately and without liability if you: breach these Terms or your SOW in a material way and fail to remedy the breach within 7 days of notice; become insolvent or enter into administration; or engage in abusive, threatening, or unlawful behaviour toward our team.

Upon termination, all access to client portals, staging environments, and shared systems will be revoked. Each party will promptly return or destroy confidential information belonging to the other.

12 - Governing Law

Jurisdiction & disputes

These Terms are governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms or any services provided shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

Before initiating any formal legal proceeding, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days. If unresolved, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bangalore and proceedings conducted in English.

For clients based in the UK or EU: nothing in these Terms affects your statutory rights as a consumer under applicable UK or EU law.

13 - Miscellaneous

General provisions

SeverabilityIf any provision is found unenforceable, the remainder of these Terms continue in full force.
WaiverFailure to enforce any right does not constitute a waiver of that right.
AssignmentYou may not assign your rights without our written consent. We may assign our obligations to a successor entity.
Force MajeureWe are not liable for delays caused by events outside our reasonable control (natural disasters, internet outages, government actions, pandemic).
UpdatesWe may update these Terms at any time. Material changes will be notified via email with 14 days' notice.
