1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your access to and use of the website, services, and deliverables provided by our studio, a web design and development company based in Bangalore, India ("we," "us," or "our"). By accessing our website, engaging our services, or accepting a proposal or quote from us, you agree to be bound by these Terms.
If you do not agree with these Terms, please do not use our website or engage our services.
2. Description of Services
We provide web design, web development, UI/UX design, e-commerce development, mobile app development, SEO, and related digital services as described on our website or in a signed proposal, quote, or statement of work. Work is carried out by our team in Bangalore, with remote collaboration and delivery for clients across India and internationally. The specific scope, deliverables, and timeline for any engagement will be outlined in writing before work begins.
3. Your Responsibilities
When working with us, you agree to:
- Provide accurate, complete, and timely information, content, and assets required for the project
- Respond to requests for feedback or approval within a reasonable timeframe
- Ensure you have the rights to any content, images, trademarks, or materials you provide us
- Use our website and services only for lawful purposes
- Make payments in accordance with the agreed payment schedule
Delays in providing information or feedback may affect project timelines, and we are not responsible for delays caused by incomplete or late input from your side.
4. Intellectual Property
Upon receipt of full payment, ownership of the final approved deliverables (such as website code, design files, and custom assets created specifically for your project) transfers to you, except where third-party licensed assets, stock content, or open-source components are used, which remain subject to their respective licenses.
We retain the right to display completed work in our portfolio, case studies, and marketing materials, unless you request confidentiality in writing (including via a signed NDA), which we are happy to accommodate.
Any pre-existing tools, frameworks, code libraries, or internal processes we use to deliver our services remain our intellectual property and are not transferred as part of any engagement.
5. Payment Terms
Payment terms, including deposits, milestones, and final payment, will be outlined in your proposal or invoice, in Indian Rupees (INR) unless otherwise agreed for international clients. Unless otherwise agreed in writing:
- A deposit is required before work begins on most projects
- Remaining payments are due at the milestones or dates specified in your invoice
- Applicable taxes (such as GST) will be added to invoices where required by law
- Late payments may result in a pause of work until payment is received
- Final deliverables, source files, and domain/hosting credentials are released only after final payment is received in full
6. Revisions & Changes
Each package or proposal includes a defined number of revision rounds. A "revision round" refers to a single, consolidated batch of feedback, not individual change requests submitted over time. Requests beyond the included revision rounds, or changes to the agreed scope, will be treated as a Change Request and billed separately at our standard day rate, with your approval obtained before additional work begins.
7. Cancellation & Refunds
You may request to cancel a project at any time by notifying us in writing. Upon cancellation:
- Any work completed up to the point of cancellation will be billed at our standard rate
- Deposits are non-refundable once work has commenced, as they cover time and resources already allocated to your project
- Any amount paid in excess of work completed will be refunded within a reasonable timeframe
We reserve the right to pause or terminate a project if payment is significantly overdue or if you fail to provide necessary information or approvals for an extended period.
8. Warranties & Disclaimers
We aim to deliver high-quality work and will correct any defects in our deliverables that are reported within 30 days of final delivery, at no additional cost, as part of our standard post-launch support window. Beyond this, our services and deliverables are provided "as is," and we make no warranty that our website or services will be uninterrupted, error-free, or compatible with every third-party platform, plugin, or future software update.
9. Limitation of Liability
To the fullest extent permitted by law, our studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our website or services. Our total liability for any claim arising from an engagement shall not exceed the total amount paid by you for the specific service giving rise to the claim.
10. Indemnification
You agree to indemnify and hold our studio harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services, or content or materials you provide that infringe on the rights of a third party.
11. Third-Party Services & Platforms
Some projects may involve third-party platforms, plugins, APIs, or hosting providers (such as Shopify, WordPress, payment gateways, or cloud hosts). We are not responsible for outages, pricing changes, policy changes, or discontinuation of features by these third parties, though we will make reasonable efforts to advise you of any impact to your project.
12. Termination
We reserve the right to suspend or terminate access to our website or services, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or exposes us to liability. Sections relating to intellectual property, payment obligations, limitation of liability, and indemnification survive termination of any engagement.
13. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute arising from these Terms or our services will first be addressed through good-faith negotiation between the parties before pursuing formal legal action, subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, where our studio is registered.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements. We will post the updated Terms on this page with a revised "Last Updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
